Nonprofit Mergers & Acquisition

Nonprofit Mergers & Acquisition The bottom-line need to enhance efficiency, expand influence and deliver ever-increasing stakeholder value is fueling a boom in non-profit mergers and acquisitions. However, the challenge of creating a unified organizational culture and mission can create unanticipated roadblocks.

Even aligned cultures won't ensure success, for agreement needs to emerge on structure, governance, program prioritization and staffing decisions. Even with the best of intentions, a lack of expert facilitation and management in nonprofit mergers and acquisitions can lead to processes controlled by emotion and ego and results that do little more than create market confusion.

In this high-risk, high-reward area, Coulter Strategy & Innovation has been engaged by both the acquirer and the acquired in the negotiation of "deal points," structure, process, and facilitation of a final agreement. We have also been retained simultaneously by multiple organizations to facilitate what we term "industry unifications," defined as two or more nonprofits creating a new organization representing the unified interests of the parties.

Coulter Strategy & Innovation manages all requirements for a successful outcome, including deal facilitation, organizational design, outside legal and parliamentary analysis, governance negotiation, specific staff and operational recommendations and stakeholder communications. Perhaps most important, Coulter Strategy & Innovation facilitates all phases of the process, from front-end analysis through deal negotiation and full plan implementation.
